§ 3 Conclusion of Contracts
1. The presentation of services on provova.com generally constitutes an invitation to submit an offer, unless expressly designated as a binding offer.
2. For paid online orders, the customer submits a binding contractual offer by clicking a clearly labeled button indicating an obligation to pay.
3. A contract is concluded through express acceptance, order confirmation, or provision of the ordered service in a manner clearly recognizable as acceptance of the contract.

6. Coaching and mentoring appointments are agreed upon through binding appointment confirmation.
7. Before a contract is concluded, the customer is informed of the essential characteristics of the service, the total price, and any additional costs.
§ 4 Free Website Checks

2. Results are based on automated assessments and information available at the time of the check.
3. There is no entitlement to an analysis of every subpage or to the complete detection of all technical, security-related, or content-related issues.
4. Provova may impose reasonable technical limits on the use of free assessments, particularly regarding the number of checks, processing capacity, and permitted scanning depth.
5. A free website check does not create any obligation to purchase additional services.
6. Mandatory statutory rights remain unaffected.
§ 5 Automated Website Analyses and Security Assessments
1. Website analyses are generally conducted using publicly accessible information.
2. Customers undertake not to infringe the rights of third parties when commissioning an analysis.

4. Unless separately and expressly agreed, Provova does not conduct penetration tests, exploit security vulnerabilities, bypass access restrictions, or perform other intrusive security assessments.
5. More extensive security assessments require express authorization from the respective website operator and a separate agreement defining the scope, limitations, and execution of the assessment.
6. Provova is entitled to reject assessment requests that are clearly abusive or unlawful.
7. Analysis results represent a snapshot at a particular point in time and do not constitute certification of a website's complete security or legal compliance.
§ 6 Artificial Intelligence and External Analysis Services
1. Provova may use AI systems and external analysis services to provide its services, particularly OpenAI, Anthropic Claude, and DataForSEO.
2. AI systems may be used for content analysis, quality assessment, generation of FAQ suggestions, and development of recommendations for improvement.
3. Despite appropriate quality assurance measures, AI-generated results may be incomplete, inaccurate, or require interpretation.
4. Provova is obliged to provide the agreed services with the level of care required by contract and applicable law.
5. A specific search engine ranking, defined increase in revenue, particular number of customer inquiries, or guaranteed placement in AI-powered search systems is owed only if expressly and validly agreed.
6. Any agreed professional review or quality assurance of results remains unaffected by the preceding provisions.
7. Personal data is processed in accordance with the Privacy Policy and any additional data protection agreements that may be required.
§ 7 Individual Projects
1. The subject matter of individual projects is determined by the services described in the respective offer.
2. The offer specifies, in particular, the scope of services, deliverables, remuneration, schedule, and required customer cooperation.
3. Whether the contractual obligation concerns the provision of services or the production of a specific work is determined by the actual content of the contract.
4. Additional requirements and change requests may result in adjustments to remuneration and project schedules. Such changes require a corresponding agreement.
5. Where acceptance is agreed upon or required by law, the acceptance procedure and, where applicable, the acceptance criteria are defined in the project offer.
6. In the event of disagreements concerning the scope of services, the agreed service description and other contractual documents shall be decisive.
7. Statutory warranty rights remain unaffected.
§ 8 Customer Cooperation Obligations
1. Customers shall provide the information, documents, and access credentials necessary for the provision of services in a timely manner.
2. Customers are responsible for ensuring that they are authorized to provide the relevant information and access credentials.
3. Delays resulting from insufficient cooperation may require reasonable adjustments to agreed project deadlines.
4. Provova shall inform the customer of any identifiable material obstacles to service delivery.
5. Additional work resulting from missing or delayed cooperation will only be charged where there is a contractual or statutory basis for doing so.
§ 9 Coaching and Mentoring
1. Coaching and mentoring are intended to support individual reflection, orientation, and the development of possible courses of action.

6. Statutory withdrawal rights, particularly those under the Austrian Distance and Off-Premises Contracts Act (FAGG), remain unaffected.
7. If Provova must cancel an appointment, an alternative appointment will be offered. If an alternative service is not possible or reasonable, payments already made for services not provided will be refunded.
§ 11 Prices and Payment Terms
1. The prices stated at the time of ordering or in the individual offer shall apply.
2. Prices for consumers are stated inclusive of applicable taxes and mandatory charges.
3. Net prices may be displayed to business customers, provided that the applicable tax treatment is clearly indicated.
4. Standardized analysis packages may be payable in advance.
5. Individual projects may be billed at an agreed fixed price, based on time spent, or according to defined project phases.

8. In the event of late payment, the statutory provisions apply.
9. Additional services will only be charged on the basis of a corresponding agreement.
§ 12 Delivery of Digital Results
1. Digital analysis results may be provided in particular as PDFs, structured reports, electronic documents, FAQ packages, or through a protected online interface.
2. The agreed delivery period is determined by the respective service description or order confirmation.
3. For individually prepared deliverables, the scope and processing time may depend on the specific analysis assignment.
4. Delivery takes place through the agreed communication or transmission channel.
5. Statutory provisions concerning the conformity of digital services, warranty rights, and non-performance remain unaffected.
§ 13 Usage Rights and Intellectual Property
1. Provova and the respective rights holders retain their rights to existing methods, analysis procedures, software components, templates, tools, and other protected materials.
2. Customers receive the usage rights necessary for the agreed purpose in relation to purchased analysis reports and results.
3. Purchased FAQ content packages may be used and adapted on the customer's own websites or on expressly agreed client websites within the contractually agreed scope.
4. Reselling such content as a standalone product or distributing it to third parties not covered by the agreement requires a corresponding licensing agreement.
5. Usage rights for individually developed websites, software, or other project deliverables are specified in the respective project offer.
6. Rights to content provided by the customer remain with the respective rights holders.
7. The transfer of usage rights is governed by the relevant contractual agreement, subject to mandatory statutory provisions.
§ 14 Confidentiality
1. Both contracting parties undertake to treat confidential business and personal information obtained during their cooperation as confidential.
2. This applies particularly to business strategies, internal company information, project documents, and personal matters discussed during coaching and mentoring sessions.
3. Exceptions apply to information that is already lawfully publicly available, has been independently and lawfully obtained, or must be disclosed due to legal obligations.
4. The confidentiality obligation continues after termination of the contractual relationship for as long as a legitimate interest in confidentiality exists.
5. The processing of personal data is additionally governed by applicable data protection regulations.
§ 15 Data Protection
1. Personal data is processed in accordance with applicable data protection regulations.
2. Information about processing purposes, legal bases, recipients, and data subject rights is provided in the Privacy Policy at https://provova.com/datenschutz/.
3. Where Provova processes personal data on behalf of a customer in the course of individual projects, a separate data processing agreement pursuant to Article 28 GDPR will be concluded where the statutory requirements are met.
4. Customers are responsible for the lawfulness of personal data they provide within the scope of their respective data protection responsibilities.
§ 16 Warranty
1. The statutory warranty provisions apply.

3. All mandatory statutory liability provisions remain unaffected in relation to consumers.
4. For business customers, liability limitations permitted by law may be agreed in the respective project contract.
5. References to the limitations of automated analyses or AI-generated results do not restrict liability for culpable breaches of contractual or statutory obligations contrary to mandatory law.
§ 18 Right of Withdrawal for Consumers
18.1 General Right of Withdrawal
For distance contracts and contracts concluded away from business premises, consumers generally have the right to withdraw from the contract within 14 days without giving any reason, unless a statutory exception applies.
For service contracts, the withdrawal period generally begins on the date the contract is concluded.
To exercise the right of withdrawal, an unequivocal statement is sufficient, for example by email to as@felix-beratungsgruppe.at.
18.2 Commencement of Services Before Expiry of the Withdrawal Period
If a consumer expressly requests Provova to begin providing services during the statutory withdrawal period, this may be agreed in accordance with the applicable legal requirements.
Where a paid service has been fully performed, the right of withdrawal may expire under the conditions set out in Section 18 FAGG.
If a consumer validly withdraws while services are being provided, a proportionate payment for services already performed may be due under the statutory conditions.
18.3 Digital Content
For digital content not supplied on a tangible medium, the right of withdrawal may expire under the conditions set out in Section 18 FAGG, particularly where the consumer has expressly consented to early performance, acknowledged the resulting consequences, and received proper contractual confirmation.
The statutory requirements are addressed separately in the respective ordering process.
18.4 No General Exemption for Coaching Appointments
Merely agreeing on a specific coaching or mentoring appointment does not automatically exclude the statutory right of withdrawal.
The applicable statutory requirements remain decisive.
18.5 Consequences of Valid Withdrawal
In the event of valid withdrawal, payments received will be refunded in accordance with statutory provisions, generally no later than 14 days after receipt of the withdrawal notice.
Statutory entitlements to remuneration for services already provided remain unaffected.
